Outside General Counsel

The legal partner your business calls before something becomes a problem.

Outside GC is for companies that have outgrown ad hoc legal services but aren't ready to hire a full-time in-house attorney. We become your ongoing legal partner: contracts, governance, employment matters, risk reviews, and the calls you didn't know you needed to make.

What Outside GC Looks Like

Strategic Counsel

The kind of conversations you'd have with an in-house attorney — whether a customer dispute is worth escalating, whether a new partnership structure makes sense, whether a new hire requires a separate agreement. Available when you need them.

Contract Review & Approval

Your team sends contracts to us instead of routing them through an internal legal review process you don't have. We turn them around quickly, flag the issues that matter, and tell you what's safe to sign.

Governance & Compliance

Annual corporate maintenance, board materials, equity grants, and the ongoing legal record. The administrative work that's easy to defer until it becomes urgent.

Employment & HR Matters

Offer letters, employment agreements, separation agreements, non-competes, employee handbook reviews, and counsel on day-to-day HR questions where the wrong answer creates liability.

Risk & Dispute Management

Pre-litigation strategy, demand letter responses, vendor and customer disputes. We handle escalation in-house when possible, and coordinate with specialized counsel when a matter requires it.

Vendor & Outside Counsel Coordination

When you need a specialist — tax attorney, immigration counsel, patent attorney — we identify them, manage the relationship, and translate their work back into terms your business actually uses.

Engagement Model

Outside GC is typically a monthly retainer scaled to the volume of work your business actually generates. The retainer gives you a predictable budget and us a predictable engagement — both of which work better than hourly billing for ongoing advisory work.

For larger or one-off matters that fall outside the retainer (an M&A transaction, a substantial litigation issue), we scope and bill those separately so the retainer doesn't get distorted by exceptional events.

Outgrowing ad hoc legal services?

If your team is sending one-off legal questions to multiple firms, or routinely deferring legal work because the friction is too high, an Outside GC arrangement may be a better fit. Let's talk.
